NOTICE OF CONSEQUENCES OF BUSINESS TEAM RESTRUCTURING
Dear clients,
as you could read in the previous news from today, the APF GROUP has experienced very dynamic growth in recent months, which in many ways exceeds our long-term plans and expectations. Paradoxically, this rapid growth found us less prepared in the area of maintaining the quality of business processes and managing the too rapid expansion of the business structure. The existing external trading structure has grown to such an extent that it was unable to provide sufficient training for traders, as a result of which unprofessional behavior of some of its members, especially new ones, began to appear.
Of course, we strongly object to any unethical or unprofessional behavior, because our first priority has always been and always will be a satisfied client. We do not intend to risk, in any way, that similar actions should continue to increase unchecked, therefore the management of APF GROUP decided to make a fundamental change - to leave the existing business structure and create a new one. Because this decision required quick and decisive executive action, we faced a slight deviation from the expected trading results at the end of September as a result, which will cause a delay in sending trading returns for a minority of our clients by 1-3 days.
We are fully aware that a similar situation has occurred for the first time and could therefore raise certain doubts. Although this payment delay only affects approximately 5% of our clients, we are notifying and communicating it to all clients to avoid the possible spread of misinformation. We are convinced that the regularly achieved excellent economic results and the positive consequences of business restructuring will clearly justify this minor one-off complication. In the coming weeks, we will also introduce other attractive products that will allow you to further and profitably evaluate your investments.
At the same time, we would like to point out that due to the rapid business growth of our group, independent negotiations may occur, from which we clearly distance ourselves. Only business managers listed on our website https://apfgroupcr.com/en/kontakt/ are authorized to deal with our clients on behalf of the APF GROUP. This year, the changes that were published on July 19, 2024 as part of the capital merger of companies in the APF GROUP (VERDANT) group are already underway.
The company APF VENTURE CAPITAL CR s.r.o. acquired a 51% equity stake in the company APF DIGITAL AGRIFUND CR s.r.o. At the same time, it capitalized a claim in the amount of CZK 300 million in the form of a voluntary surcharge outside the basic capital in order to increase the equity capital of APF DIGITAL AGRIFUND CR s.r.o. The value of the increase in equity belongs to the company APF VENTURE CAPITAL CR s.r.o. guaranteed annual share of profit in the amount of 10% (even in case of reporting a loss).
The company APF DIGITAL AGRIFUND CR s.r.o. continuously assumes the obligations of APF VENTURE CAPITAL CR s.r.o. up to a total amount of CZK 600 million, which will be gradually amortized, including accessories, in accordance with the agreed maturity from the profit from the sale of the APFC token. The transfer of liabilities is ensured by the Ritter-Šťastný law office. For these obligations, the company APF VENTURE CAPITAL CR s.r.o. continues to be liable in the form of joint and several liability.
We published the preliminary financial results as of 31/08/2024 in a post on 17/09/2024. The preliminary results show changes in the amount of total liabilities, the value of equity and an increase in the operating result of the economy. The value of equity as of 31.8.2024 amounted to 1,024,956 thousand. CZK.
The growth of the token price on cryptocurrency exchanges (secondary market) has a positive effect on the development of the operating result.

Based on the ongoing sale of investment shares,the equity capital of APF VENTURE CAPITAL CR s.r.o. will be increased by the end of 2024. by approx. 150 million CZK. A capital increase in the form of a voluntary additional payment in addition to the basic capital will further strengthen the value of the equity capital.

APFC Token Sale Revenue
Dear clients,
we would like to inform you that the total revenue from the sale of the APFC token reached CZK 49,373,920 in the month of September.
Product swaps (exchanges) of APF GROUP products (VERDANT) for the purchase of the APFC token are also part of the sales.
The amount of tokens in circulation (sale via exchange or direct sale) is currently 55,207,696.

Purchase of agricultural land for the APF GROUP (VERDANT)
Dear Clients,
The acquisition of agricultural land is proceeding in accordance with the long-term investment strategy of APF GROUP (VERDANT) as part of the land consolidation process in selected locations. These include individual cadastral areas in the districts of Znojmo, Břeclav, Hodonín, Uherské Hradiště, Brno-venkov, Vyškov, Kroměříž, Prostějov, Přerov, and Olomouc. In these locations, we are preparing investment projects in agricultural primary production, which will be carried out through our agricultural operations or the qualified investor fund in collaboration with tenants in the respective regions.
The company regularly updates and publishes an overview of ownership records of the land owned by APF GROUP (VERDANT) at the end of each calendar month. The overview includes land for which ownership rights have been registered in the Land Registry. Ongoing transfers of ownership rights are not reflected in this overview.
The current total area of agricultural land owned by APF GROUP (VERDANT) is 8,270,848 m² (827.1 ha). The total accounting value of the purchased agricultural land has reached 600 million CZK. The amount of advance payments made toward future land purchase prices currently totals 59,145,549 CZK.
During the period from January to August 2024, we acquired 442.4 hectares of agricultural land. The total land area owned by APF GROUP (VERDANT) has increased by 115% since the beginning of 2024. The target area by the end of 2024 is 1,200 hectares.
The acquisition of agricultural land is financed through funds generated by sales of APF GROUP (VERDANT) products, primarily from the proceeds of APFC token sales at present.

APFC token market price development
Dear Clients,
According to Whitepaper, a key attribute of the APFC token is that the funds raised through its sale are used to purchase agricultural land and to finance agricultural projects in the Czech Republic. The value of the APFC token is therefore correlated (correlation) with the value of agricultural assets owned by APF GROUP.
As an example, we present the correlation between the development of the market price of the APFC token (source: CoinGecko) and the development of the total area of agricultural land owned by APF GROUP (source: APF GROUP) for the comparable period of 2024.
This correlation represents a kind of "gold standard" for the project of tokenization of agricultural land. In our case it is defined as the "VERDANT standard".
The VERDANT standard is expressed in terms of the value of agricultural assets owned by APF GROUP and represents the fair value backing of the APFC token. This standard reduces the risk of price volatility, lack of liquidity and the ability to meet all obligations related to holding the APFC token.
Definition:
Correlation means a correlation between two random processes or random variables. If one of the random variables changes, then the other changes and vice versa. If a correlation is identified between two random processes, it is likely that they depend on each other.

as part of the declared values of the APF GROUP (transparency), we publish an overview of the realized payments of purchase prices for the purchase of agricultural land into the group's property. In the second holiday month of August, we paid purchase prices in the total value of CZK 20.5 million (overview of searched movements).
Investments in agricultural land in selected locations of Central and South Moravia are the main pillar of investments within the APF GROUP. Cooperation with the INVESTBAY project
Dear clients,
we have already informed you about the establishment of close cooperation with the INVESTBAY project (https://www.investbay.com/o-nas).
The project focuses on micro-investments in attractive holiday properties within Europe. In the form of crowd-owning, it allows clients to invest in real estate in small amounts. Agricultural land exchange for APFC token
Dear clients,
based on your increasing inquiries and requests for the possible exchange of agricultural land held in client portfolios (real APF GROUP products) for the APFC token, we inform you of the following.
Token exchange (product swap) is possible for APF GROUP clients as part of the token buyback product secured by a lien on the land that is the subject of the exchange.
As part of this product, clients who request an exchange can get a more favorable investment valuation with adequate collateral. The lien on the land is registered in the land registry in favor of the client throughout the duration of the contractual relationship. Unlike normal products, where we currently use the institution of a security agent, in this case, specific land is mortgaged in favor of a specific client (secured creditor).

Market capitalization of the APFC token
Dear clients,
within the framework of the agricultural land tokenization project through the APFC token, we hereby inform you that the current market capitalization (Market Cap) is close to the value of CZK 700 million. Market capitalization represents the total market value of tokens in circulation. As of July 15, 2024, the market capitalization increased by almost CZK 200 million. The increase in market capitalization is determined by the price of the token and the increase in the growth of the amount of tokens in circulation.

Change in the method of securing the contractual obligations of the APF GROUP
Dear clients,
due to the significant increase in the number of realized mortgage contracts for purchased land, which are used to arrange security for the contractual obligations of the APF GROUP, and thus also the disproportionate increase in administration on the part of the company and the legal office, we are hereby announcing the introduction of the following measure to prevent the extension of implementation deadlines.
From September 2024, the institute of collateral agent will be newly introduced into the contractual conditions for all types of contractual obligations. A collateral agent is a legal or natural person who accepts collateral for contractual obligations on its own account for the benefit of individual creditors. In the event that the company fails to meet its obligations and is unable to ensure the repayment of obligations, the agent may, based on the consent and decision of the creditors, exercise a lien on the purchased land to satisfy the claims of individual creditors. The agent is thus a kind of solidary creditor representing the rights of all creditors.
APF GROUP's Liability Security Agent function is added to secure the interests of creditors and increase the security of the investment.
In insolvency proceedings, in addition, the security agent has a much stronger position, the whole process is more coordinated and higher yields can be achieved.
Currently, the selection of a security agent (notary, lawyer, auditor, banking institution) is underway.
The contractually anchored joint and several liability of the companies in the APF GROUP will continue to be part of securing creditors' claims.
Drafted and executed mortgage contracts will be gradually concluded and the lien will be entered into the real estate cadastre.
From September 2024, it will be possible to enter into a mortgage agreement for specific plots of land to secure a contractual obligation for investments from CZK 3.0 million.

on July 9, 2024, I informed you of the fact that the total value of client portfolios as of June 30, 2024 was reported in the amount of CZK 881,322,717.

Capital connection of companies in the APF GROUP
Dear Clients,
The project for tokenizing agricultural land through the APFC token was launched in 2022 and has been gradually financed by the operating results of companies within the APF GROUP. Currently, it has reached a market capitalization of CZK 500 million with a total circulating supply of over 38 million tokens. Additionally, the token is traded on 8 cryptocurrency exchanges within the TOP 30 (including 2 in the TOP 15). In the coming months, it is preparing to be listed on a TOP 10 exchange with an average daily trading volume of CZK 33.5 billion. This will fulfill the strategic goal of the project for the token's liquidity, price stability, and credibility.
Based on these facts, the management of APF GROUP has decided on a capital connection between APF DIGITAL AGRIFUND CR s.r.o. and APF VENTURE CAPITAL CR s.r.o.
APF VENTURE CAPITAL CR s.r.o. will acquire a 51% equity stake in APF DIGITAL AGRIFUND CR s.r.o. Simultaneously, it will capitalize a receivable of CZK 300 million through a voluntary additional payment outside the basic capital to increase the equity of APF DIGITAL AGRIFUND CR s.r.o. From the value of this equity increase, APF VENTURE CAPITAL CR s.r.o. is entitled to a guaranteed annual profit share of 10% (even in the case of a loss). APF DIGITAL AGRIFUND CR s.r.o. will assume the liabilities of APF VENTURE CAPITAL CR s.r.o. totaling CZK 600 million, which will be gradually paid off, including related costs, in accordance with the agreed maturity from the profit of the token sale. APF VENTURE CAPITAL CR s.r.o. will continue to guarantee these liabilities in the form of joint and several liability; however, these liabilities will no longer be part of the company's balance sheet. With the assumption of liabilities with the consent of creditors (arranged by the law firm), the total liabilities of APF VENTURE CAPITAL CR s.r.o. will be reduced, thereby decreasing the company's overall indebtedness.
The proceeds from the sale of APFC tokens will continue to primarily finance the purchase of agricultural land and agricultural projects within the APF GROUP. The above-average profit from the sale of tokens allows us to adequately cover financial costs, thereby stabilizing the operations of the entire APF GROUP.

Project SOBŮLSKÝ GRUNT and the establishment of the company APF AGRICULTURAL PRODUCTION CR s.r.o.

Last year, we informed you about the commencement of our cooperation with the project SOBŮLSKÝ GRUNT in the Hodonín district.
This is a family farm engaged in extensive cattle breeding. The current herd includes over 200 heifers, young bulls, and calves.
In the first phase of cooperation, we offered the company a long-term lease of agricultural land owned by the APF GROUP for the expansion of pastures and meadows in the districts of Hodonín and Uherské Hradiště. The expansion of leased agricultural land is ongoing.
In the second phase, a joint project, BENDIA s.r.o., was established, in which the APF GROUP holds a 25% stake. Through this project, we will gradually finance the development of the farm. For the expansion of cattle herds, we are providing operational financing of CZK 10.0 million (for the purchase of calves and feed). The planned annual revenue from the sale of aged beef in the first year of the project is expected to be CZK 80.0 million (www.sobulskygrunt.cz).
Furthermore, APF AGRICULTURAL PRODUCTION CR s.r.o. was established to carry out its own agricultural activities on land owned by the APF GROUP.

The operating profit (EBITDA) is 7,233 thousand CZK. The profit before tax is 3,871 thousand CZK. The net turnover for the year 2023 amounted to 34,952 thousand CZK. The total net asset value is 51,340 thousand CZK.
APF AGRICULTURAL LAND CR s.r.o.
The operating profit (EBITDA) is 7,201 thousand CZK. The profit before tax is 3,473 thousand CZK. The net turnover for the year 2023 amounted to 45,279 thousand CZK. The total net asset value is 52,062 thousand CZK.
As previously stated, the investment activity of both companies has been reduced. Currently, all liabilities are being settled gradually in accordance with the specified due dates.
Preliminary results of the company APF VENTURE CAPITAL CR s.r.o. were published in the News on February 13, 2024.
The operating profit (EBITDA) is 68,690 thousand CZK. The profit before tax is 88,561 thousand CZK. The financial profit is 19,871 thousand CZK. The net turnover for the year 2023 amounted to 467,717 thousand CZK. The total net asset value is 1,163,911 thousand CZK.
The final results of this company are expected by the end of August 2024 in line with the deferred tax obligation, and the audit of the financial statements will be published concurrently.

The operating result (EBITDA) amounts to 7.059k USD. The pre-tax result amounts to 2.882k USD. The value of APFC tokens sold for the year 2023 was reported at 6.136k USD. The total net asset value amounts to 36.871k USD.
The tokenization project was gradually financed from 2022 onwards from the reported profits of APF GROUP companies. The operating result now allows the company and subsequently the entire APF GROUP to pay the interest costs. The sale of tokens finances the purchase of agricultural land and agricultural projects.

APF VENTURE CAPITAL CR s.r.o. is part of the APF GROUP, which has long focused on investments in agricultural land, financing of agricultural projects and now also on agricultural production. APF GROUP has already completed more than 2,000 transactions with agricultural land worth more than CZK 1.5 billion, owns land with a total area of more than 630 hectares and also has client portfolios worth more than CZK 830 million under management.
Due to further expansion in the domestic market and the feasibility of developing the company's business, it was decided to sell 30% of the company's business to new investors. In connection with the investment, the company plans to raise CZK 150,000,000 for the expansion of its business, primarily for further purchase of agricultural land and financing of agricultural projects within the APF GROUP. The funds raised from the investors will be contributed to APF VENTURE CAPITAL CR s.r.o. in the form of a share capital increase.

Dear Clients,
We bring you information on the development of market prices of agricultural land for 2023. Based on the Land Market Report for 2023 published by FARMY.CZ s.r.o., the market prices for 2023 have increased by 2.9% compared to 2022 in the whole Czech Republic. After 2 years of double-digit growth, there has been a cooling on the overall demand side, which is to be expected given the previous periods (the difference is in the length of the period, which depends on macroeconomic conditions).
With this, APF VENTURE CAPITAL CR s.r.o. (APF GROUP) comments on the changes in market prices for 2023. With regard to the locations in which our company actively trades and buys (main production agricultural areas), we provide information on the changes in market prices in each district:

These are the average market prices in the localities in question for predominantly arable land with a BPEJ above CZK 10,-/m2 (Decree No.227/2018 Coll. issued by the Ministry of Agriculture), in climate zones 0,1,2,3 and selected land in zones 4 and 6, with a maximum medium slope. All plots are proffered under market conditions.
The market prices are derived from actual transactions during 2023 and reflect the real evolution of market prices in the locations mentioned. In 2023, APF GROUP completed a total of 471 transactions with a total value of CZK 389,559,884.00 and purchased land with a total value of CZK 217,675,643.00 (384.7 ha). These values still show a significant difference in market prices compared to the average market prices for all types of agricultural land and for the whole country.
In terms of further development of market prices, APF GROUP expects a cooling of demand for agricultural land throughout the Czech Republic in connection with the decline in interest rates and inflation rates. However, we also expect a gradual increase in the interest of non-agricultural investors in investing in agricultural land as a suitable way of protecting their money from inflation depreciation, precisely in connection with the decline in interest rates. There will continue to be highly selective demand for specific locations and land with above-average BPEJ. The pace of market price growth will be influenced primarily by further inflation and falling interest rates. The upward pressure on prices on the supply side will cause a decline in demand, which will result in a decline in the overall value of completed transactions. This offers us the opportunity to negotiate more favourable purchase prices for land owned by APF GROUP. Paradoxically, this may result in better appreciation in the annual revaluation of the market value of land than at a time when increased demand is pushing prices up and sellers are unwilling to negotiate prices.

We would like to inform you that as of 15 January 2024, in cooperation with DELTA investiční společnost a.s., we will start subscription of investment shares of the fund APF GROUP CR SICAV a.s. More information on the fund can be found on this page.
The funds will be used for investments based on the financing of agricultural entrepreneurs, for equity interests in agricultural entrepreneurs and for the purchase of agricultural land within the Czech Republic. The strategy for purchasing agricultural land owned by the Fund will be identical to and mutually supportive of APF VENTURE CAPITAL CR Ltd.
APF VENTURE CAPITAL CR s.r.o. will continue to provide real estate services for clients, real investments in the form of direct ownership of agricultural land (client portfolios) and secured participation in the purchase of agricultural land. For the sake of transparency, here are examples of APF GROUP's investments in the agricultural sector that will be implemented by the fund and for which the implementation process has already started.
1) Reducing the credit indebtedness of the agricultural company through the direct purchase of agricultural land subject to a mortgage in favour of the financing bank. The purchased land is then leased back to the agricultural company with a long-term notice period (e.g. 10 years).The agricultural company continues to farm the land in question and pays the agreed rent. The income of the Fund in this case is generated on the basis of the rental income and the regular annual revaluation of the market value of the purchased agricultural land.As part of the extension of the cooperation with the agricultural company, the provision of long-term financing for the business is envisaged. In this case, the income of the fund will be extended by the interest received on the financing provided.
2) Capital injection into an operating agricultural company and provision of financing for its business activities (investment, operation). The income of the Fund in this case is the share of the profits of the agricultural company and the interest income from the financing provided.
3) Establishment of an agricultural company (or capital entry) with a tenant farming on agricultural land owned by the Fund. The Fund acquires the business interest, leases the agricultural land owned by the Fund and provides financing for the agricultural company. In this case, the income of the fund is a share of the profits of the agricultural company, the rental income, interest income and the periodic revaluation of the market value of the agricultural land owned by the fund. We will keep you informed of the specific business cases implemented.

(b) an investment share referred to as a "PIA Preferred Investment Share", which carries with it the right to share in the profits and the right to share in the liquidation balance in accordance with the ratio determined by the calculation set out in the Articles of Association for PIA Preferred Investment Shares, and the right to redeem at the current value of the PIA Preferred Investment Share. Voting rights are attached to such PIA Preferred Investment Shares only if these Bylaws or applicable law, as applicable, grant voting rights to the Investment Shares.
7) The basic investment strategy of the FKI is to invest in the following assets:
- agricultural land, in particular credit-worthy arable land and other agricultural land resulting from the Agricultural Land Fund Protection Act;
- agricultural real estate related to agricultural activities (crop and livestock production);

Change of company name
Dear Clients,
We have previously informed you that Agrární půdní fond s.r.o. will significantly limit the activities of the alternative fund within the meaning of Section 15(1) of the Investment Companies and Investment Funds Act.
In connection with the upcoming legislative changes to the Investment Companies and Investment Funds Act, a change to the company's name will be made by the end of 2023 to reflect the requirements of the upcoming amendment to the ISIF Act.

Service Restrictions - Alternative Fund
Dear Clients,
Agrární půdní fond s.r.o. has been registered in the list of persons performing asset management comparable to asset management within the meaning of Section 15(1) of the Investment Companies and Investment Funds Act, maintained by the CNB in accordance with Section 596(e) of the ISIF Act. The activity of the alternative fund was launched on 1 January 2023.
In connection with the establishment of a separate Qualified Investor Fund (QIF) and the commencement of its operations from 1 January 2024, there will be a significant reduction in the provision of services related to the Alternative Fund. The CIF is a logical consequence of the transformation of the alternative fund into a regulated entity of the CNB with appropriate registration. All clients will be offered the option of transferring to the CIF under pre-agreed conditions.
Agrární půdní fond s.r.o. will remain a real estate intermediary and will continue to offer real investments in agricultural land that fall under real estate intermediation. The company will continue to invest in agricultural land and will actively cooperate with the CIF.
By the end of 2023, we will inform you about the concrete steps and possibilities of the transition under FKI.

Establishment of a Qualified Investor Fund (FKI)
Dear Clients,
As we informed you earlier, APF GROUP has started the process of establishing a qualified investor fund (FKI, Fondu Kvalifikovaných Investorů). The qualified investor fund (FKI) is registered in the list maintained by the Czech National Bank according to Act No. 240/2013 Coll., on Investment Companies and Investment Funds (ZISIF). The FKI is an investment instrument intended for qualified investors (from CZK 1 million).
The basic investment strategy of the FKI is to invest in the following assets:
• agricultural land, in particular credit-worthy arable land and other agricultural land resulting from the Agricultural Land Fund Protection Act;
• agricultural real estate related to agricultural activities (crop and livestock production);
• participations in legal persons holding agricultural land or agricultural real estate;
• participations in legal persons whose predominant activity is crop and livestock production, hunting and related activities (CZ-NACE 01);
• receivables in respect of loans or borrowings from legal persons owning agricultural land and agricultural real estate;
• bonds issued by legal persons owning agricultural land and agricultural real estate;
• property rights in agricultural land and agricultural real estate.
The anticipated date for the start of the FKI's activities is set for 1 January 2024.
By the end of this year, we will inform you about other facts related to the launch of the FKI.
The establishment of the FKI is in line with the long-term strategy of APF GROUP, which aims to support agricultural entrepreneurs and secure the ownership of agricultural land by a domestic owner.

Modification of the General Terms and Conditions for selected real products from 1.10.2023

We would like to inform you that as of 1 October 2023 we are preparing a modification of the General Terms and Conditions for selected real products (IZP, DIZP, IP and PDIZP). v rámci deklarovaných hodnot skupiny APF GROUP (transparentnost) si dovolujeme zveřejnit přehled realizovaných plateb kupních cen za nákup zemědělských pozemků do majetku skupiny. Přes poslední prázdninový měsíc se nám podařilo udržet tempo realizovaných obchodů a uhradili jsme kupní ceny v celkové hodnotě 25,2 mil. Kč (přehled vyhledaných pohybů). V následujících měsících do konce kalendářního roku očekáváme zvýšení objemu nákupů zemědělských pozemků. O celkové hodnotě uzavřených kupních smluv Vás informujeme v pravidelných intervalech. Realizované nákupy zemědělských pozemků probíhají v souladu s dlouhodobou investiční strategií skupiny APF GROUP v rámci procesu scelování pozemků ve vybraných lokalitách. Jedná se o jednotlivá katastrální území v okresech Znojmo, Břeclav, Hodonín, Uherské Hradiště, Brno-venkov, Vyškov, Kroměříž, Prostějov, Přerov a Olomouc. Presentation of a set of agricultural land owned by the APF GROUP
Dear Clients,
In the interest of transparency, we would like to present to you one of the many sets of agricultural land owned by APF GROUP.
This is a set of 7 agricultural plots registered as arable land and other area with a total area of 77.814 m² (7.8 ha) in the cadastral area of Smržice, Prostějov district (ethnographic area Haná). The land is registered on the property sheet No 921. These are separate land blocks within larger land parcels. Access to the land is provided by a municipal paved and unpaved road. BPEJ 30100, 30501, 30810 (land rating). Most of the land is classified in protection class I. The prevailing basic price according to the decree is 19.13 CZK/m2 (maximum 20 CZK/m2). The point yield of the land is 96 (these are highly productive plots). The land is subject to a lease agreement with a local agricultural cooperative.

Information on completed transactions of the APF GROUP for the year 2022

We have previously informed you about the realized transactions with agricultural land for the year 2022 of the owner of APF GROUP as a natural person. Now we are also presenting the results of the completed transactions of the APF GROUP itself for the year 2022.
During the year 2022, land with a total value of CZK 9,662,410 was sold with a gross profit of CZK 3,008,054 (45.20% of the purchase price). The funds obtained from the sale of land were used for further purchase of land into the property of APF GROUP and repayment of the credit framework with a banking institution.

Results of the APF GROUP owner as a person

As part of our corporate value Transparency, we hereby publish the results of the APF GROUP owner as a natural person.
The reported results are from the period prior to the establishment of Agrární půdní fond s.r.o. (25 May 2020) and the subsequent transformation of the activities of the physical All tax liabilities from previous years have been paid. Income from the business comes from real estate activities (real estate brokerage and purchase and sale of agricultural land).

The aforementioned after-tax income was used to finance the establishment and development of Agrární půdní fond s.r.o. This answers a common question as to where the funding for the development of the company came from and whether the agricultural land business was already profitable before the establishment of Agrarian Land Fund Ltd.

Examples of completed deals in 2019
Dear Clients,
This is in response to frequent inquiries about the resulting gross margins on agricultural land trades executed to cover client returns in real investments or cash management.
We are often asked how it is possible to offer an investment appreciation of 12% p.a. or higher and keep the entire investment model profitable over the long term.
To get a basic idea of what active agricultural land trading can look like, we illustrate examples of our Portfolio Manager's executed trades in 2019. This gives clients a closer look into the "business kitchen" of the company.
We deliberately chose 2019 because of the stagnation of demand and balanced supply, which were reflected in a year-on-year increase in market prices of land across the country of "only" 1.3% (farmy.cz). From the examples of the transactions documented, it is clear that it is possible to achieve a much higher appreciation (gross profitability) than the average annual increase in market prices through proper land selection (parameterisation), detailed knowledge of demand and market prices.
The long-term results are confirmed by the large number of completed transactions, which alone determine the real market price and thus the resulting gross profit. We adapt our trading strategy to the macroeconomic and monetary conditions of the period. However, in the long term, we maintain a gross profitability of 20-30% p.a. and adjust our land selection and entry prices for purchases accordingly. We have already published the gross profitability levels for land sold within APF GROUP for 2021 (29.24%, note gross profitability is calculated on the purchase price of the land). We are currently compiling the results for 2022, which we will inform you about.
There are many would-be "experts" in the market for agricultural land trading and guaranteed "market price experts" or various types of analysts. If someone works in the real estate business, it does not mean that he is an expert in trading agricultural land, unless he specializes in it for a long time and does a high number of real transactions. Often, farmers themselves are not experts in land trading as they only buy land in their action radius and directly from tenants who have no idea what the real market price of the land they are selling to them in this way is. The confrontation with the real market price is then very uncomfortable for them.
So if you are looking for an expert, ask how many deals he has completed and with what results. You can judge by that whether you are getting appropriate answers or just "amateur" assumptions and opinions. The APF GROUP honours the principle that every published figure must be substantiated and therefore realistic.
Practically, we are able to provide you with evidence of every transaction carried out within the Group (purchase contract purchase - purchase contract sale). The total number of trades executed by the Portfolio Manager exceeded 1500 and the total amount of CZK 900 million.

Modification of the General Terms and Conditions for real products from 1.6.2023
Dear Clients,
We would like to inform you that as of 1 June 2023, new General Terms and Conditions for real products (IZP, DIZP, PDIZP, IP and IPI) will come into force. The modification of the GTC, as previously mentioned, consists in setting the amount of the minimum secured yield (MZV), which is part of the future purchase price specified in the future purchase contract. Until now, the amount of the MFA has been set as fixed (e.g. 12% p.a.). From 1 June 2023, the amount of the MFA will be set as a floating rate depending on the level of the base reference rate. The basic reference rate corresponds to the discount rate announced by the CNB (currently 6% p.a.). Construction of the total amount of the MFA = basic reference rate + risk premium (e.g. 6% p.a. + 4% p.a.). The total amount of the IRR will be determined on the date of signing the General Terms and Conditions and will be valid for the entire duration of the investment.

Joint and several liability of individual companies in the APF GROUP
Dear Clients,
Within the framework of the concluded obligations of individual companies in the APF GROUP (https://apfgroupcr.com/en/skupina-apf/), we apply the principle of joint and several liability for these obligations with immediate effect.
In practice, this principle means for the creditors of each company in the APF GROUP that if a company fails to fulfil its contractual obligation towards the creditor, the creditor is entitled to call upon any other company in the APF GROUP to fulfil the company's obligation and the company is obliged to fulfil the obligation jointly and severally. This principle is intended to significantly strengthen the position of the creditor (client) in the contractual relationship and thus reduce the risk of possible future delinquency of an individual company. At the same time, the principle of joint and several liability will be incorporated into all binding contracts.
The APF GROUP hereby declares that the principle of joint and several liability of individual companies in the APF GROUP also applies to all previously concluded contractual relationships of individual companies in the APF GROUP.

New project within the APF GROUP
Dear Clients,
We would like to inform you about another of our projects within the APF GROUP.
We have acquired an unmaintained plot of land registered as arable land in the outskirts of the village of Hněvotín with an area of 645 m2 into the ownership of APF GROUP in May 2022. The land is situated between a development of houses and a secondary paved municipal road. A high-pressure gas pipeline runs through the plot, which does not allow to use the land as a building plot. It was fallow land without trees and shrubs, but with high soil fertility (BPEJ). There was no lease agreement for the land. As an agricultural entrepreneur, we decided to use the land to establish a commercial garden based on natural principles at the lowest possible cost. Our goal is to create a low cost edible and living garden that will be used to grow vegetables, fruits, small berries, medicinal herbs and flowers. At the same time, we aim to attract birds, insects and small animals to the garden by planting shrubs and establishing flowering meadows. All activities will be in line with ecological principles without the use of chemicals and with sustainability for future generations. The project is financed from the retained earnings of the APF GROUP. By implementing this project, we will achieve a significant long-term appreciation of the land owned by the APF GROUP.

Cooperation with the company SOBŮLSKÝ GRUNT s.r.o.

We would like to inform you that as part of the long-term investment strategy of APF GROUP, we have established cooperation with SOBŮLSKÝ GRUNT s.r.o., based in Sobůlky (Hodonín district). It is a family farm, which deals with extensive breeding of beef cattle. The current breeding represents over 200 heifers, young bulls and calves.
In the first phase of cooperation, we offered the company a long-term lease of agricultural land owned by APF GROUP to expand the area of pastures and meadows in the Hodonín districts and Uherské Hradiště. In the next phase, the terms of which we are discussing, the subject of cooperation will be the possibility of providing long-term financing for further development of the farm (investment, operation).

Statement of the APF GROUP
The APF GROUP is a group of Czech commercial companies engaged in real estate mediation and also enables its customers to invest funds through trading in real estate, especially agricultural land, and in the form of an alternative fund according to § 15 paragraph 1 ZISIF. As part of their activities, members of the APF GROUP issue corporate bonds. All contractual conditions, as well as the issue conditions for the subscription of bonds, are published on the website of the company Agrarní podní fond s.r.o., one of the members of the APF GROUP.
The company Agrární půdní fond s.r.o. is found to be associated with the Platon Life project, which was related to the trading of its own digital currency, Platon Coin. APF GROUP is the owner of Platon Coins, which it either purchased itself from their original owner and also those that it acquired from customers of the original owner of this digital currency. However, APF GROUP objects to any of its companies having any share in the activities of the Platon Life project. APF GROUP acquired the above-mentioned digital currency based on its own business judgment and is in no way financially or personally connected to the Platon Life project. All companies from the APF GROUP owned by the parent company APF REAL ESTATE GROUP CR s.r.o. they do not have an obscured ownership structure, all the documents required by law have been published in the collection of documents of the commercial register and they have properly kept records of the real owners. As regards the exchange of Platon Coin digital currency from the original clients of the Platon Life project, this always took place for adequate consideration and above all based on the free will of these persons for a reasonable commission.
The companies from the APF GROUP have been owned from the very beginning by the sole real owner, Mrs. Andrea Mičulková, who has no connection whatsoever to the persons behind the Platon Life project and the project itself. All APF GROUP companies are audited and all their financial results are published regularly. Modification of the General Terms and Conditions for real products from 1.6.2023
Dear Clients,
We would like to inform you that from 1.6.2023 we are preparing a major modification of the General Terms and Conditions for real products (IZP, DIZP, PDIZP, The modification will consist in setting the amount of the secured yield, which is part of the future purchase price specified in the future contract purchase agreement. So far, the amount of the secured return has been set as fixed (e.g. 12% p.a.). From 1.6.2023, the amount will be set as floating depending on the base reference rate. The base reference rate will correspond to the discount rate announced by the CNB (currently 6% p.a.). Design Total amount of the secured return = base reference rate + premium (e.g. 6% p.a. + 4% p.a.). The total amount of the secured return will be determined on the date of signing the General Terms and Conditions and will be valid for the entire duration of the investment. These terms and conditions will reflect the real macroeconomic development and monetary conditions in the Czech Republic.

We bring you information on the development of market prices of agricultural land for 2022. Based on the Report on the Land Market for 2022 published by FARMY.CZ s.r.o., the market prices for 2022 have increased by 13.51% compared to 2021 throughout the Czech Republic.

These are the average market prices in the localities in question for predominantly arable land with a BPEJ above CZK 10,-/m2 (Decree No.227/2018 Coll. issued by the Ministry of Agriculture), in climate zones 0,1,2,3 and selected land in zones 4 and 6, with a maximum medium slope. All plots are proffered under market conditions.
The market prices are derived from actual transactions during 2022 and reflect the real development of market prices in the listed locations. APF executed a total of 370 transactions in 2022 with a total value of CZK 201,790,246. These values show a significant difference in market prices compared to the average market prices for all types of agricultural land and for the whole country.
In terms of further development of market prices, APF expects a gradual increase in the interest of non-agricultural investors in investing in agricultural land as a suitable way of protecting their money from inflation depreciation. There will continue to be a highly selective demand for specific locations and land with above-average BPEJ. The pace of market price growth will be influenced primarily by further developments in inflation and interest rates. The development of the conflict in Ukraine will also play a role, which will be more likely to be reflected in the long-term growth potential of world agricultural commodity prices.

Extension of services - Alternative Fund
Dear Clients,
Agrární půdní fond s.r.o. has been entered into the list of persons performing asset management comparable to asset management within the meaning of § 15 odst. 1 zákona of the Investment Companies and Investment Funds Act, maintained by the CNB in accordance with § 596 písm. e) ZISIF.
An alternative fund pursuant to § 15 ZISIF Act does not serve to collect assets from the public and invest them jointly. This fund is intended for qualified investors.
A qualified investor is an investor who makes a statement of risk awareness and invests at least:
- The equivalent of EUR 125,000, or
- 1 million. CZK if the investment in the fund has been assessed in connection with the provision of an investment service to a particular investor by an OCP or investment company which has assessed that the investment in the fund is suitable for the investor.
Investments within the scope of the alternative fund's activity will be directed exclusively to agricultural land in the Czech Republic.

Modification of the terms and conditions

In September, the annual inflation rate reached 18%, with the outlook for further growth to 20% by the end of 2022. However, the rate of inflation is slowing and we can expect a slight decline next year, according to the CNB's outlook. We expect annual growth in market prices of agricultural land in the Czech Republic to be well above 20%.
In connection with this development, we would like to inform you that we will adjust the commercial terms and conditions of all APF Group products with effect from 1 January 2023.
In particular, the value of secured returns under the forward purchase agreement for real investments (IZP, DIZP and IP) will be reduced.
These conditions will apply to newly concluded transactions. For existing deals, the conditions remain unchanged.

Increase in inflation in May 2022
Dear clients,
in May, year-on-year inflation rose to 16.0%, with further growth expected in the coming months. This year, we expect an annual increase in the market prices of agricultural land in the Czech Republic exceeding 20% (in 2021, the annual increase in market prices amounted to 16.1% with an average inflation rate for 2021 of 3.8%).
In connection with this development, we are once again adjusting the business terms of our products as follows:
1) IZP - Annual Guaranteed Return is increased to 16%
2) DIZP - annual guaranteed return is increased to 18%

Increase in inflation in June

Informace o vlastních obchodech společnosti
Vážení klienti,
v rámci transparentnosti vám tímto přinášíme informace o vlastních obchodech společnosti Agrární půdní fond s.r.o. a její majitelky za rok 2021. Společnost APF prodala pozemky v celkové hodnotě 6 269 tis.Kč (17 obchodů) s průměrnou hrubou ziskovostí 29,24 %. Majitelka společnosti prodala pozemky v celkové hodnotě 7 362 tis.Kč (21 obchodů) s průměrnou hrubou ziskovostí 31,21 %.
Finanční prostředky získané prodejem pozemků APF byly použity na opětovný nákup pozemků do majetku společnosti APF, financování provozních nákladů (především marketing) a na vytvoření rezervy pro výplatu výnosů z klientských portfolií a vydaných dluhopisů. Finanční prostředky získané prodejem pozemků majitelky byly použity k navýšení základního kapitálu společnosti APF a na nákup pozemků do majetku společnosti APF.

Income for the second income period

APF Coin
Dear Clients,
We are currently preparing a new project of our own cryptocurrency APF Coin (APFC) involving a blockchain structure with the ambition to enter the international cryptocurrency market.
The funds raised from the sale of the APFC cryptocurrency will be used primarily to invest in agricultural land within the Czech Republic. The land will be purchased into the ownership of the Company and will substantially cover the value of the APFCs issued.
From 1 May 2022, we will start a pre-sale for all interested parties. The primary exchange rate is set at 1 APFC/1 CZK. The minimum quantity sold is 250,000 APFC.

Nárůst inflace
Dear Clients,
Inflation rose to 14.2% year-on-year in April and continues to accelerate. In view of this development, we are adjusting the terms and conditions of our products as follows:
1) KIZP - the annual secured yield is increased to 12%.
2) DIZP - the annual secured return is increased to 15%

Information about upcoming changes within the APF
Dear clients,
We would like to inform you about upcoming changes within the individual companies of the APF group. The changes will be implemented by the end of September 2022.
The company RE Services & Investments s.r.o. as the parent company of Agrární půdní fond s.r.o. and APF CRYPTO CR s.r.o. is renamed to APF REAL ESTATE GROUP s.r.o. At the same time, the company is increasing its share capital to a total of CZK 500,000 from the retained earnings of previous years.
The company Agrární půdní fond s.r.o. increases the share capital to the total amount of CZK 10,000,000 in the form of capitalization of the liability to the partner.
The company APF CRYPTO CR s.r.o. increases the share capital to a total of CZK 1,500,000 from the company owner’s own funds. At this company, the scope of business was expanded to include real estate mediation with statutory liability insurance in the total amount of CZK 20.0 million.
A legal audit of both companies is currently underway with an assessment of the legal requirements for expanding the scope of business to include other related businesses. We will implement the legal audit recommendations by the end of this year.

Dear clients,
we recently informed you through a post in the News menu about the ongoing legal audit of the products of Agrární půdní fond s.r.o. We hereby publish the audit conclusions for the main products Investment agricultural land (IAL), Long-term investment into agricultural land (LTIAL) and Individual portfolio (IP). These products are used by more than 95% of our clients.
Description:
In general, the investment process is described on the website as assistance to clients in the selection of agricultural land for purchase, cooperation in the purchase of agricultural land from a third party. Conclusion of the contract on the future contract between APF and the client with a percentage increase compared to the purchase contract that the client acquired the agricultural land. At the same time, agricultural plots are offered for sale by a third party through a real estate agency. If the sale of agricultural land to a third party does not occur within the time specified in the futures contract, the purchase contract is concluded based on the futures contract.
Rating:
§ 3 ZPKT (No. 256/2004 Coll., Act on Business on Capital Markets) contains an exhaustive list of investment instruments, although the company calls the purchase of real estate an investment, it is not an investment in investment instruments and the ZPKT does not apply to this service. The collection of property from the public is concerned with this matter relating to services only for the preparation of documents for purchase and subsequent purchase from the client. APF does not have the option to dispose of the investor’s property in any way possible. There is no joint property management of AFP clients, as each client owns real estate, AFP does not handle the purchase and sale, however, it helps with the conclusion of purchase contracts through a real estate agency.
Conclusion:
We have not found any flaws with this service.
The additional product Participation in the purchase of agricultural land was introduced on the recommendation of the audit in accordance with Act No. 240/2013 Coll., on investment companies and investment funds.
We would also like to inform you that the share capital of APF CRYPTO CR s.r.o. has been increased. for a total amount of CZK 1,500,000. Currently, the process of increasing the share capital of the company Agrární půdní fond s.r.o. is underway. and parent company RE Services & Investments s.r.o. We will inform you about the registration in the commercial register.
As part of the further development of Agrární půdní fond s.r.o. in cooperation with a law firm, we started the process of issuing bonds approved by the CNB in the total amount of CZK 200 million. We will inform you about upcoming issues.
